Our active involvement in day-to-day representation of our corporate clients
includes: all aspects of corporate governance;
securities and regulatory law compliance; labor relations; general commercial
agreements; public and private securities offerings; sophisticated
and complex business transactions, including mergers and acquisitions,
dispositions of subsidiaries or other assets; corporate restructurings and
recapitalizations; tender offers; proxy contests; going-private transactions;
holding company formations; spin-offs; liquidations and
general business advice.
We have extensive experience in all major areas of corporate finance and securities
law in Israel and abroad, including public securities offerings and the representation of
issuers and underwriters in public and private offerings of debt and equity
securities. The scope of our involvement with venture capital has ranged from the establishment
of such funds to the representation of venture capital investors and the
companies being financed through the portfolio investments made by such funds. The
firm regularly represents corporate and individual investors as well as
corporate borrowers in a wide range of private financings, including limited
partnership investments and secured and unsecured loans, both in
Israel and internationally. We regularly represent acquirers, targets, financial
advisors, management investors, large shareholders and other institutional
investors.

2. TECHNOLOGY AND VENTURE CAPITAL
Our firm has substantial experience representing leading Israeli and
foreign technology companies and their affiliates at all stages of their growth
as well as the investment banks and venture capital firms that finance them.
Our technology practice has drawn on our experience and skills in
transactional, legislative and dispute-resolution matters. On behalf of our
clientele in the fields of media, telecommunications, electronics, software
development, semiconductors, imaging technology, internet, and biotechnology, we
have negotiated and documented a range of sophisticated customer contracts,
marketing and distribution agreements, computer hardware purchase and lease
agreements, software licenses, professional services agreements, software escrow
agreements, OEM agreements, hardware and software maintenance agreements, and
related transactions. Our firm combines both strong corporate and commercial

3. GOVERNMENT / LEGISLATIVE PRACTICE
Our firm is actively involved in working with Israeli Government Ministries and officials in
drafting legislation and advising on governmental initiatives in a number of areas. These efforts are
led by Adv. Tamar Hacker, a senior partner who joined the firm in 1996, and who previously
served as the Chief Legal Advisor to the Israeli Ministry of Finance and as a director in
various governmental companies. Having served in a variety of positions in public and
private sectors, our professionals have a diverse set of relevant skills, strong
relationships with key policy leaders and regulators, and a thorough
understanding of governmental processes. This translates into developing
strategic and proactive approaches for our clients.
We provide a full range of legislative services including drafting
bills, developing position papers, lobbying actively for client positions, and
providing representation. In the regulatory and legislative arenas, comprehensive
representation of our clients requires experience and expertise. We
bring our clients a strong blend of legal and technical expertise on issues such
as telecommunications, environmental compliance and enforcement, energy,
insurance and banking, land use and natural resources, transportation and ports
systems, and free trade.
Extensive experience in structuring, negotiating and documenting government
privatization projects has made us one of the leading firms on this subject in Israel.
We have represented both governmental entities in their divestitures as well as private investors in
privatization acquisitions.

4. MEDIA AND TELECOMMUNICATIONS
As a pre-eminent telecommunications practice in Israel, our firm has extensive
expertise in all aspects of media and telecommunications law, including
electronic communications, broadcasting, entertainment and information
technology law. With particular strengths in transactional, regulatory and
government-relations work, our staff advises on the full range of
regulatory and licensing issues, contractual matters, public authorities,
telecommunications networks, service providers and data protection/privacy
issues. In addition to regulatory and advisory work, we are experienced in
joint ventures, mergers & acquisitions, financing and restructuring of
telecommunications, cable, and broadcasting utilities.
We have been involved in many transactions in Israel. Our Israeli and international
clients include major industry players, as well as start-up/niche enterprises,
funds and government and public sector entities. Our broad legal experience includes
transactional and regulatory work (primarily with the Ministry of
Communications) relating to fixed-line, fiber-optic cable, submarine cable,
satellite, and internet telecommunication systems.
Recent clients and transactions include:

Bezeq: corporate and securities counsel in its public offering on Tel Aviv Stock
Exchange (1998 and 2004); corporate and regulatory counsel regarding
relationship with Cable & Wireless plc.

Elbit Imaging Systems Ltd.: counsel for Project Oxygen (large-scale submarine cable project).

Bezeq International: special corporate counsel in proposed US $400 million submarine
fibre optic cable joint venture.

Partner Communications Ltd.: special regulatory counsel with respect to licensing,
competition and international tariff issues.

Cellcom: application to the Ministry of Communications for a fixed telephone system
license and handling; RFP and tender acquisition of associated
telecommunications equipment; special regulatory and government relations
counsel with respect to royalties and electromagnetic spectrum allocation
issues.

The Most Group: regulatory and corporate counsel with respect to satellite broadcasting
issues and the operation of Russian-language programming in Israel.

IDB Development Corporation Ltd: in its involvement in Global Village Telecom, which
constructed and developed a telephony network in Brazil.

Second Television and Radio Authority: since its establishment of the Second Television
Channel we have been actively involved in its on-going representation with respect to all aspects of its
telecommunications activities.

5. LITIGATION
The firm regularly represents clients in a broad range of commercial litigation
issues in all of Israel’s courts, including administrative litigation
and arbitration. Our trial lawyers have tried hundreds of cases throughout the
Israeli court system (with over one hundred appearances before the High Court of
Justice alone), creating the type of experience and resources to meet the
complex litigation needs of large national and multi-national corporations, as
well as those of small to mid-sized companies and individuals, from
pre-litigation negotiation through appeal.
Recognizing that profitable and responsible operations in today's
litigation-prone environment is one of the
greatest challenges facing businesses, our lawyers are attuned to the need to
constantly monitor and assess the costs and benefits of litigation and the
prospects of settlement. Getting results is our prime consideration, whether it
is through litigation, mediation, arbitration or other alternative dispute
resolution techniques.
While the firm has been heavily
involved in tender-law litigation, labor relations litigation, securities

6. REAL ESTATE / COMMERCIAL
Our firm represents both commercial clients and individuals in all
proceedings and transactions that deal with real property-land and the
structures attached to it-including purchase and sale, construction,
mortgages, leases, registration, closings, tax aspects and management.
We regularly represent foreign and Israeli real estate developers and
corporations in many kinds of real estate transactions. The firm is active in
the representation of a number of Israeli hotels, shopping center properties,
malls and other large real estate and construction companies in all
aspects of their development, construction and operation, including the Nechasim
Ubinyan Group; Dankner Investment Group; Gev Yam and Gad; and the America Israel
Investments Group.

7. TAX
We routinely advise our clients-whether they are individuals or large
corporate enterprises-on tax planning alternatives and strategies for
relocation, sales of securities, reorganizations, mergers, acquisitions,
divestitures, real estate sales and exchanges, including structuring of the
transactions for minimization of the impact of taxation resulting in savings to
the client. Our expertise ranges from employee share option plans to corporate
restructurings, with particular strengths in international transactions, local
taxation, and venture capital.

9. LABOR AND EMPLOYMENT
Our labor and employment law group has experience in counseling and litigating a
broad array of labor and employment matters in the public and private sectors in
a large variety of industries. The lawyers in the group have extensive
litigation experience in labor and employment cases before administrative and
arbitration tribunals, as well as the Israeli labor and district courts, in both
individual and group actions. We have represented our clients (as plaintiffs and
defendants) in all forms of traditional labor matters including employment
discrimination, wrongful termination, wage and benefits issues, testing, use of
independent contractors, union organizing and other issues pertaining to hiring,
promotion, compensation, termination and collective bargaining negotiations.
